Where We Are & What We Can Do To Make It Better

Summary: Corporate and Governmental Boards are often missing in action when they are most needed. The past failure of Directors to direct has damaged America and will be discussed along with what should be done now. Organizational governance means much more than ticking off the box of narrow legal compliance. It requires an insightful understanding of the elements of Directorship and the forces that drive leadership, strategic decision-making, and executive oversight.

This case study based program, part of AICBA’s series on Board Leadership and Governance Series, is designed to provide a practical perspective on where we are today and where we need to go with Corporate Governance.

Learning Objectives

Based on actual examples of Board Governance issues and challenges, this program will provide Directors and their Trusted Advisors with:

  • Understanding the endless list of failures; Lehman, Enron, World Com, Tyco and beyond.
  • Understanding the “Stakes of the Game”.
  • Understanding the delusion of Sarbanes-Oxley and other window-dressing legislation.
  • Understanding of the elements of competent Directorship.
  • Understanding the role of individual courage as the foundation of success.
  • Discussion of strategies for the future.

Program Content

Each AICBA program is tailored to the specific risks and training needs of Board Members and Board Advisors. Possible topics include:

  • The real role of Directors and the threats they face.
  • The 8 principal functions of Boards.
  • Organizational structure versus Director Competency and Integrity.
  • The role of the outside auditors, regulators and other oversight elements.
  • The treatment of shareholders and stakeholders.
  • Solutions: where we need to go now.

Instructional Method, Program Length, and Continuing Education Credits

This program utilizes a combination of lecture, facilitated discussion and short exercises. The suggested length is three to eight hours. Summary Programs and Webinars are planned for one hour in length. Actual program content and length is tailored to the unique needs of each client, and is determined in planning conversations with the client. In accordance with the standards of the National Registry of CPE Sponsors CPE credits will be granted based on a 50-minute hour.
