Simon M. Nadler is a Member of the Board of Advisors of the American Institute of Certified Board Advisors. As an attorney and a recognized mergers & acquisition advisor, he is an avid supporter of competent board oversight and is committed to the mission of the Institute. A partner with Shulman Rogers Gandal Pordy & Ecker, P.A. in the Business and Financial Services Department, Simon works closely with business owners and executives to help them achieve their objectives in many different situations, including mergers and acquisitions, venture capital/angel investor financings, and general corporate matters.  He regularly counsels Boards of Directors and senior executives on a wide variety of day-to-day business and corporate issues.

Simon’s transactional experience includes negotiating and facilitating all aspects of corporate transactions, from negotiating and drafting the letter of intent, reviewing and completing the due diligence process, negotiating and drafting the purchase agreement and related agreements, including earn-outs and other contingent payments, and closing the transaction.  His experience includes representing clients across industry segments, including technology, wholesale distribution, insurance and publications/trade shows.

He also has significant experience in working with start-up companies, including forming and structuring those companies, developing employment agreements and compensation plans, as well as resolving disputes among partners.  In addition, Simon has acted as a trusted advisor in developing strategies for manufacturing and distribution; marketing and service; intellectual property licensing and distribution and software development arrangements. Simon has worked across a wide spectrum of industry sectors, including technology, wholesale distribution, insurance, retail, restaurants and biotechnology.

He has written and lectured to various groups on business transactions, the formation and organization of companies, employment and compensation agreements and general corporate matters affecting the day-to-day business operations of companies.

Simon has had significant hands-on board experience with the Capital Camps & Retreat Center where he is the Co-Chair of the Strategic planning Committee. He is a Member of the Maryland State Bar Association, Business Law Section and a Member of the American Bar Association, Business Law and Science and Technology Sections.

Simon earned his J.D., with honors, from The George Washington University Law School.  He is a member of the Maryland, District of Columbia and Florida bars. Simon received his B.S., with honors, from The American University.
